TRIAL TERMS
Tai-IoT Industrial Development Toolkit trial terms
Terms version: 2 November 2026
This is an English translation for reference. The terms are agreed in Chinese, and the Chinese version prevails; the same Chinese text is included in the toolkit as TERMS.md.
These terms apply to the trial edition of the industrial development toolkit provided under the Tai-IoT brand by Hainan Taiyue IoT Technology Co., Ltd. (“Tai-IoT”), comprising the trial archive and the Tai-IoT VS Code extension package (together the “toolkit”); the archive's version is given in its VERSION file, and the extension package's in its file name and in the extension details in VS Code. “Applicant” means the person who applies on the Tai-IoT website and receives the toolkit, together with their organization.
Except for the third-party software described in section 4, Tai-IoT owns the copyright in the toolkit and reserves all rights.
Once the applicant accepts these terms by ticking the box on the trial request form on the Tai-IoT website, Tai-IoT emails the applicant the download links for the toolkit. Downloading, unpacking, installing or using the toolkit also means that the applicant has read and accepted these terms.
1. Trial licence
Tai-IoT grants the applicant, free of charge, a non-exclusive, non-transferable and non-sublicensable trial licence for the applicant and the employees of their organization who take part in the evaluation to evaluate the toolkit on computers the applicant owns or manages. During the trial, the toolkit may be modified and run on those computers.
The trial lasts 90 days from the day the applicant receives the download links. When the trial ends, or is terminated under section 7, the applicant must stop using the toolkit, uninstall the extension from VS Code, and delete the toolkit and any modified versions.
2. Restrictions
The toolkit is provided under a proprietary licence and is not open-source software. Without Tai-IoT's written consent, the applicant may not:
- forward, sell, rent, publish or otherwise provide the toolkit or a modified version to third parties;
- use the toolkit to develop or improve a competing product;
- disclose the parts of the toolkit that have not been made public.
3. Trial nature and limitation of liability
The toolkit is a trial edition provided as is, with no warranty of function, results, continued availability or fitness for a particular purpose. Tai-IoT may change or stop providing this version at any time.
The toolkit works only on the example projects it includes. Its development board example writes the example firmware to the development board that the applicant connects and designates, overwriting the program on that board; the applicant should connect only boards meant for evaluation. The applicant may not use the toolkit on production equipment, real control systems, or in situations involving the safety of people or property.
To the extent permitted by law, Tai-IoT is not liable for losses caused by using or being unable to use the toolkit. This limitation does not apply to property loss caused by Tai-IoT's intent or gross negligence, or to personal injury.
4. Third-party software and services
Software in the toolkit that was developed by third parties (“third-party software”) does not belong to Tai-IoT and is under its own licence; these terms do not restrict the rights the applicant has in third-party software under those licences.
The trial archive contains no copy of third-party software; the applicant installs its dependencies from a package source of their choice according to requirements-lock.txt.
The VS Code extension package includes a Python runtime and the Python packages in requirements-lock.txt, which the extension uses to run the engineering service on the applicant's computer; they are listed, with their licence texts, in THIRD_PARTY_NOTICES.md and the licenses/ folder in the package. The Microsoft Visual C++ runtime in the Windows package is Microsoft Distributable Code: the applicant may not alter any copyright, trademark or patent notice in it, use Microsoft's trademarks in a way that suggests their products come from or are endorsed by Microsoft, run it on a platform other than Microsoft's, or include it in malicious, deceptive or unlawful programs.
The applicant downloads the vendor SDKs, compilers and flashing tools used by the development board example from their publishers as the guides describe; each is under its own licence, and the toolkit contains no copy of them. The applicant obtains AI clients, model services and development tools themselves, follows their terms and bears their costs. Third-party product names and trademarks mentioned belong to their owners.
5. Data and personal information
The toolkit does not collect or upload the applicant's data and does not read the applicant's accounts or keys. When the applicant uses a cloud model, the client may send project content and tool results to that model service, which the applicant decides on and controls.
The contact details, organization, computer environment and feedback the applicant provides when applying and giving feedback, together with the records of sending the download links and of downloads, are used by Tai-IoT only for trial support and product improvement, not for unrelated marketing. They are kept for 12 months from submission and then deleted. The applicant may ask to access, correct or delete this information by writing to the email address at the end.
6. Feedback and project materials
Tai-IoT may use opinions and suggestions the applicant chooses to give, free of charge, to improve its products and services.
The trial does not require the applicant to provide their own projects. If the applicant is willing to provide test projects, source code or device materials, both parties first agree in writing on their use, confidentiality and deletion before they are provided.
7. Termination
If the applicant breaches these terms, the trial licence ends automatically, and the applicant must immediately stop using the toolkit, uninstall the extension from VS Code, and delete the toolkit and any modified versions. Sections 2, 3, 5, 6 and 9 continue to apply after termination.
8. Changes to these terms
Tai-IoT may update these terms in a new version. New terms are provided with the new version and apply only to it; versions already sent remain under the terms included in them.
9. Governing law and disputes
These terms are governed by the laws of the People's Republic of China (for the purpose of these terms, excluding the laws of the Hong Kong and Macao Special Administrative Regions and Taiwan). Disputes arising from these terms are first settled by negotiation; failing that, either party may bring an action before the competent people's court where Tai-IoT is domiciled.
